PeeOnMe® - Authorized Distributor Terms

(Non-Exclusive | Brand-Led Distribution)

1. Authorization

PeeOnMe® authorizes the distributor (“Distributor”) to purchase and resell PeeOnMe® branded products in accordance with these terms.

Authorization is non-exclusive, revocable, and limited to genuine PeeOnMe® products supplied directly by PeeOnMe®.

2. Brand-Led Distribution

PeeOnMe® products are sold exclusively under the PeeOnMe® brand. The Distributor may not:

Private label, white label, or relabel products
Rebrand or alter PeeOnMe® trademarks or branding
Modify product design, packaging, or instructions

All brand assets remain the sole property of PeeOnMe®.

Private-Label or Custom Programs

PeeOnMe® may, at its sole discretion, consider private-label, co-branded, or custom programs based on factors including order volume, commercial history, and strategic fit. Nothing in this agreement grants the Distributor any right to such programs.

3. Approved Sales Channels

Distributor may resell PeeOnMe® products through any lawful sales channel, including:

Direct B2B sales
Physical retail locations
Distributor websites and online stores
Third-party online marketplaces (e.g., eBay)

Exception: Resale on Amazon or Walmart marketplaces requires prior written approval from PeeOnMe®. Unauthorized listings on these platforms are prohibited.

4. Pricing & Resale

Distributor pricing is provided separately and may be updated periodically.

PeeOnMe® does not enforce MSRP or MAP. However, distributors are expected to price responsibly and avoid practices that materially damage brand value. Examples include, but are not limited to:

Persistent price dumping
Artificially low promotional pricing
Misleading or deceptive price representations

5. Marketing & Representation

Distributor agrees to:

Represent PeeOnMe® accurately and professionally
Use approved product descriptions and claims
Avoid misleading, false, or unverified statements

Co-marketing materials may be provided upon request and at PeeOnMe®’s discretion.

6. Logistics & Fulfillment

Orders ship per agreed pricing and freight terms as detailed in the current PeeOnMe® Distributor Pricing Sheet.
Title transfers upon shipment (FOB Origin), unless otherwise agreed.
Distributor is responsible for all freight, logistics, storage, handling, and resale activities.

7. Compliance & Termination

PeeOnMe® reserves the right to revoke distributor authorization at any time, at its sole discretion, with or without cause, and without liability, obligation, or responsibility for damages or claims.

Grounds for termination may include, but are not limited to:

Violation of brand usage rules
Misleading sales or marketing practices
Sale of counterfeit, altered, or unauthorized products

Termination will be communicated in writing.

8. Relationship

These terms establish an independent distributor relationship. Nothing herein creates a partnership, agency, joint venture, or exclusivity.

9. Ordering & Payment

All orders must be accompanied by a formal Purchase Order (PO) and are subject to acceptance by PeeOnMe®.
Payment for all accepted orders is due 100% in advance (PIA) prior to shipment. No credit terms are offered under this agreement.

Authorization Trigger: Distributor authorization is granted on a per-order basis upon PeeOnMe®’s acceptance of a Purchase Order and issuance of a Pro Forma Invoice. PeeOnMe® may suspend or revoke authorization at any time in accordance with these terms.
