TERMS OF SERVICE, DISTRIBUTOR AGREEMENT & PRIVACY POLICY

I. TERMS OF SERVICE (DIRECT-TO-CONSUMER)

OVERVIEW

This website is operated by Triangle Capital Inc. doing business as PeeOnMe™. Throughout the site, the terms “we”, “us” and “our” refer to PeeOnMe™. PeeOnMe™ offers this website, including all information, tools, and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies, and notices stated here.

By visiting our site and/or purchasing something from us, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink.

Our store and funnel infrastructure is hosted by GoHighLevel (GHL) Inc., which provides us with the online e-commerce platform that allows us to sell our products and services to you.

SECTION 1 - ONLINE STORE TERMS & SAMPLE LIMITATIONS

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence.

Sample Limit Rule: Promotional and free sample orders are strictly limited to one (1) unit per customer, household, and shipping address. If an order is placed containing more than 1 sample unit, or if multiple sample orders are detected from the same household/IP address, we reserve the right to automatically cancel the order and refund any paid shipping fees.

SECTION 2 - NO RETURNS & NO REFUNDS POLICY

Due to the sanitary and hygiene-sensitive nature of personal restroom care products:

All Sales Are Final: We do not accept returns, exchanges, or issue refunds for any reason once an order has been processed.
Try Before You Buy: To ensure full customer satisfaction prior to purchasing commercial or multi-pack quantities, we offer a Free Sample Program so first-time customers can test the product risk-free before committing to full orders.

SECTION 3 - FULFILLMENT, SHIPPING & CARRIER RESPONSIBILITY

Handling & Transit Times: Standard order handling and warehouse processing typically takes 1 to 3 business days. Estimated transit/shipping time is 5 to 7 business days, depending on destination location (excluding weekends and holidays).
Delivery & Carrier Disclaimer: PeeOnMe™ and Triangle Capital Inc. are not responsible for carrier delivery delays, lost or stolen packages, transit damages, or incorrect addresses provided at checkout. Once a shipment is handed off to the shipping carrier (USPS, UPS, etc.) and a tracking number is generated, all logistics responsibilities transfer to the carrier. Any missing, delayed, or stolen package claims must be filed directly by the customer with the respective shipping carrier.

SECTION 4 - GENERAL CONDITIONS & ACCURACY

We reserve the right to refuse service to anyone for any reason at any time. Prices for our products are subject to change without notice. We reserve the right at any time to modify or discontinue the Service without prior notice.

SECTION 5 - BILLING & ACCOUNT ACCURACY

We reserve the right to refuse any order placed with us. In the event that we make a change to or cancel an order, we may attempt to notify you using the email, billing address, or phone number provided at checkout.

SECTION 6 - DISCLAIMER OF WARRANTIES & LIMITATION OF LIABILITY

The service and all products delivered to you through the service are provided 'as is' and 'as available' for your use. In no case shall Triangle Capital Inc. / PeeOnMe™, our directors, officers, employees, affiliates, or suppliers be liable for any injury, loss, claim, or direct, indirect, incidental, or consequential damages arising from your use of any product procured using the service.

These Terms of Service shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, located at 109 Tupelo Grove Ln, Holly Springs, NC 27540.

II. DISTRIBUTOR TERMS (NON-EXCLUSIVE | BRAND-LED DISTRIBUTION)

1. Authorization

PeeOnMe® authorizes the distributor (“Distributor”) to purchase and resell PeeOnMe® branded products in accordance with these terms.

Authorization is non-exclusive, revocable, and limited to genuine PeeOnMe® products supplied directly by PeeOnMe®.

2. Brand-Led Distribution

PeeOnMe® products are sold exclusively under the PeeOnMe® brand. The Distributor may not:

Private label, white label, or relabel products
Rebrand or alter PeeOnMe® trademarks or branding
Modify product design, packaging, or instructions

All brand assets remain the sole property of PeeOnMe®.

Private-Label or Custom Programs

PeeOnMe® may, at its sole discretion, consider private-label, co-branded, or custom programs based on factors including order volume, commercial history, and strategic fit. Nothing in this agreement grants the Distributor any right to such programs.

3. Approved Sales Channels

Distributor may resell PeeOnMe® products through any lawful sales channel, including:

Direct B2B sales
Physical retail locations
Distributor websites and online stores
Third-party online marketplaces (e.g., eBay)

Exception: Resale on Amazon or Walmart marketplaces requires prior written approval from PeeOnMe®. Unauthorized listings on these platforms are strictly prohibited.

4. Pricing & Resale

Distributor pricing is provided separately and may be updated periodically.

PeeOnMe® does not enforce MSRP or MAP. However, distributors are expected to price responsibly and avoid practices that materially damage brand value. Examples include, but are not limited to:

Persistent price dumping
Artificially low promotional pricing
Misleading or deceptive price representations

5. Marketing & Representation

Distributor agrees to:

Represent PeeOnMe® accurately and professionally
Use approved product descriptions and claims
Avoid misleading, false, or unverified statements

Co-marketing materials may be provided upon request and at PeeOnMe®’s discretion.

6. Logistics & Fulfillment

Orders ship per agreed pricing and freight terms as detailed in the current PeeOnMe® Distributor Pricing Sheet.
Title transfers upon shipment (FOB Origin), unless otherwise agreed.
Distributor is responsible for all freight, logistics, storage, handling, and resale activities.

7. Compliance & Termination

PeeOnMe® reserves the right to revoke distributor authorization at any time, at its sole discretion, with or without cause, and without liability, obligation, or responsibility for damages or claims.

Grounds for termination may include, but are not limited to:

Violation of brand usage rules
Misleading sales or marketing practices
Sale of counterfeit, altered, or unauthorized products

Termination will be communicated in writing.

8. Relationship

These terms establish an independent distributor relationship. Nothing herein creates a partnership, agency, joint venture, or exclusivity.

9. Ordering & Payment

All orders must be accompanied by a formal Purchase Order (PO) and are subject to acceptance by PeeOnMe®.
Payment for all accepted orders is due 100% in advance (PIA) prior to shipment. No credit terms are offered under this agreement.

Authorization Trigger: Distributor authorization is granted on a per-order basis upon PeeOnMe®’s acceptance of a Purchase Order and issuance of a Pro Forma Invoice. PeeOnMe® may suspend or revoke authorization at any time in accordance with these terms.

III. PRIVACY STATEMENT

SECTION 1 - ONLINE STORE TERMS & SAMPLE LIMITATIONS

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence.

When you purchase something or request a sample from our store, we collect the personal information you give us (name, address, email address, phone number). When you browse our store, we automatically receive your IP address to provide functional site security and optimize our checkout experience.

SECTION 3 - CONSENT & OPT-OUT

When you provide personal information to complete a transaction, verify your credit card, place an order, or arrange for delivery, we imply that you consent to our collecting and using it for that specific reason only.

SECTION 4 - INFRASTRUCTURE & PAYMENT SECURITY

Our platform is hosted by GoHighLevel (GHL) Inc. Data is stored on secure servers behind industry-standard firewalls.

All direct payment transactions adhere to PCI-DSS standards managed by the PCI Security Standards Council (Visa, MasterCard, American Express, Discover) using 256-bit SSL encryption.
